This agreement is entered into by the organization on whose behalf the Cards were ordered and on whose behalf the cancellation request is submitted (“Client”).  Client shall comply with the following requirements for all Cards for which it submits a cancellation request: (1) Client shall  destroy all Cards that are submitted for cancellation (Cards cannot be reactivated or re-used); (2) Client will not request cancellation of any Cards that have been distributed or otherwise transferred in any way to any person or entity; and (3) Client agrees that should any charge(s) or transactions be incurred with respect to any of the canceled Cards following submission of this request, Client will, upon request of BHN, pay BHN the full amount of such charge(s) or transactions without limitation and without regard to the face value of the Cards.  BHN shall determine whether Cards are eligible for the Card Destruction Process. The Card Destruction Process is not available for: virtual Cards, Single Merchant Gift Cards, Cards that have already had transactions/spend associated with the Card, personalized Cards (must be anonymous), or Cards that were loaded seven (7) days ago or more.  Client shall indemnify Blackhawk from and against any and all claims, actions, and suits, and from and against any and all liabilities, losses, damages, costs, charges, and any other expenses (including but not limited to attorneys’ fees and expenses) of every nature and character arising from the cancellation of Cards. Once the Card cancellation has been completed, BHN will credit Client’s BHN account.  Account credits may be subject to a processing delay to confirm there are no trailing transactions on the Card(s).  Credits to Client’s account must be used within 12 months or will be forfeited.
